The clauses that carry the most weight
- Precise identification of the parties, including licence numbers and registered addresses, not trading names alone.
- Scope of work or supply described in concrete deliverables rather than intentions.
- Payment terms with dates, currency, invoicing mechanics and a defined consequence for late payment.
- Term, renewal and a clear termination mechanism, including termination for convenience if you want it.
- Liability caps and exclusions, drafted to survive scrutiny rather than as a blanket disclaimer.
- Confidentiality, intellectual property ownership and, where relevant, data handling.
- Governing law, jurisdiction or arbitration, and the language of the proceedings.
Language: why the Arabic text matters
Onshore UAE courts conduct proceedings in Arabic and will work from an Arabic version of the contract. If none exists, the court relies on a translation produced during the dispute, which neither party controls. A bilingual contract, agreed at signature with a stated prevailing language, removes that risk. DIFC and ADGM courts operate in English, which is one of the practical reasons parties select them.
Choosing the forum
Choose one forum and keep every clause consistent with it. Contradictory dispute clauses, such as naming a court in one place and arbitration in another, are a frequent and avoidable source of preliminary argument.
| Forum | Suits |
|---|---|
| Onshore UAE courts | Contracts performed onshore with local counterparties and assets, where enforcement is against UAE based parties |
| DIFC or ADGM courts | Common law framework, English language proceedings, often chosen for finance, technology and cross border commercial agreements |
| Arbitration, for example DIAC | Confidential proceedings, party chosen arbitrators, and broad cross border enforcement under the New York Convention |
Penalties, damages and good faith
- UAE law allows agreed compensation clauses, but a court can adjust the figure to reflect actual loss suffered.
- Consequential loss exclusions are recognised but are read narrowly, so be specific about what is excluded.
- Good faith obligations apply in performance, so conduct during the contract can affect how terms are interpreted.
- Unilateral variation clauses are viewed with suspicion; build in a clear change order procedure instead.
Signing and evidence
Check signing authority
Confirm the signatory is authorised on the trade licence or by a board resolution or power of attorney. This is the first thing a defaulting party challenges.
Company stamp where customary
Many UAE counterparties and authorities still expect the company stamp alongside the signature.
Initial every page
It reduces later arguments about substituted pages.
Keep the signed original
Store the bilingual signed original with its annexes, and keep the same version numbering in correspondence.
Before you sign a UAE contract
- Verify the counterparty's trade licence is current and covers the activity being contracted for.
- Confirm the entity name on the contract exactly matches the licence.
- Check whether a separate agency or distribution registration applies, because it can change termination rights significantly.
- Agree the prevailing language deliberately rather than leaving it out.
- Make sure notices clauses use addresses and emails that are actually monitored.
Frequently asked
Must a UAE contract be in Arabic?
Not for validity between the parties in most commercial cases, but an Arabic version is what an onshore court will work from, so a bilingual document is the safer position.
Can we choose foreign law?
Parties often do, but an onshore UAE court may still apply mandatory local provisions, and proving foreign law adds cost. Match the choice of law to the forum you have chosen.
Are electronic signatures valid?
The UAE recognises electronic signatures for most commercial contracts, though certain documents such as those requiring notarisation still need the formal process.
How long does enforcement take?
It varies by forum and by whether the counterparty has UAE assets. A well drafted dispute clause and clean evidence shorten it more than anything else.
